Changing a company to 'not for profit' status and back again

Thanks Clapham, I had hoped you would reply. He has been less than useful really. I don't suppose you are looking for business? Need someone that understands the EFL business, VAT and TOMS. -
Changing a company to 'not for profit' status and back again
Tokyo-Saint replied to Tokyo-Saint's topic in The Lounge
Cheers for the replies. It is an idea put forward by my accountant but with the statement "I am not an expert in this but you might want to look into". Without going into too much detail, we work in a very niche field where the rules on VAT are not 100% clear. The latest ruling says something along the lines of "will be announced in due course", this was 2 years ago. We work as an agent, making a margin and supply mostly to VAT exempt companies. The problem is, this means if we do charge VAT, we will not be able to pass it on to them as they will not be able to claim it back. Our competitors do not charge VAT, although our accountant believes this to be a very high risk strategy. By changing our status to 'not for profit', he believes that this will mean that we do not have to charge VAT at all. The problem is we will not be able to take money out, except for wages. This is fine as long as we can build up the assets on the balance sheet and at some point change back to a regular LTD and sell those assets. It falls along these lines http://www.hmrc.gov.uk/charities/vat/index.htm and http://en.wikipedia.org/wiki/Nonprofit_organization -

Dear Lounge accountants & intellectuals, I have strayed away from the Muppet Show for a while as I need some advice. I have a 50% stake in a company and we are considering changing the company's status to 'not for profit'. The idea is that we will sacrifice taking a dividend for a set period (probably 10 years or so), build up the companies assets/balance sheet, then revert to becoming a regular Ltd company again and either sell the business or sell off the assets, making a profit at that point. I was wondering if anyone had any expertise or advice on doing this. The advantages of making the transition is obviously the tax breaks with the sacrifice being the annual dividends. Any sensible advice greatly appreciated, any non sensible advice, please keep it funny. Kind regards Tokyos

I guess the buzz of football manager 2013 is wearing off.

So say that hypo but it was Bearsy that highlighted the risk randy whales bring, Delldays seems to have completey missed that and still doesn't get it. Delldays, if a randy whale is chasing, you NEED 30 knots or miles per hour or whatever.

Good work johnnyboy, we'll call this full on breast shot an experiment (although that ain't miss hanna). Let us know the banning length so we know what porn is ok and what is not. -
This thread has no winners, if only you'd have kept with the orig' answer dellboy, that would have been perfect.

But the feng shui is apparently fantastic.

Don't worry, everyone gets along fine

I guess it is a marine at that point. Delldays, is there any special inside name you call a sub? Like firemen call fire engines 'appliances' and guns are like 'weapons' or something in the army and cars are 'vehicles' or 'veh-hicles' if you are American. Are they called something hard sounding like 'units' or 'whale dics'? Asking for a friend (Alpine).

Turkish has stolen my answer, so I guess I will have to come up with something else. Firstly: Bearsy is my BFFF, I want to be like him/sound like him, in disguise or otherwise. Turkish fills in the gaps when he is away 2) SB is my mortal enemy now dune is banned. He is only semi-literate and on the register so not ideal - open to applications. 3) Football is only on for 90mins each week, we have to fill the gaps around this somehow. I am not really into fantasy football manager talk on here (people that make a fancy diagram to say, same team as last week, just change the keeper or my formation is best why don't we use that?) I prefer to have some lols. 4) I am generally always loyal to the current manager, maybe too much so. I thought Redknap would have gotten us back up, never have sack Pardew and should build a statue for Adkins. 5) I like to get players/manager names wrong i.e. Davis/Davies adkins/akins etc, as MLG does not have a humour chip and this bugs him. 6) Find and out all muppet show lurkers - This includes sexual salmon saint who has the best name ever but does not post. 7) To use the forum to get stuff like the actual direct number for the ticket office (not the muppets in the call centre) and free parking tips. 8 ) Secretly help all posters by PM who are visiting Japan, by giving them tips and advice. Why does 8 ) make a gay face?

You obviously know very little about subs Paps, they are advanced class miniatures. We make them smaller than the yanks do to make them harder to spot. They may only fire toothpicks but that is all you need to sink a Russian dingy or make the Italians change sides in a major conflict.

Bang! Bang! you're dead Pap.

**** off scouser! I'm stalking him.

Sorry to disappoint Alps but you are nowhere near interesting enough for me to stalk. All those negative trolling posts on all things saints are just far too obvious for me and besides my time is all but taken up memorising information about Turkish and keeping bearsy off the register. I would suggest you could become some kind of forum rival, a Holmes to my Moriarty but SB already has that role and I don't think your banter will be anywhere near as eloquent as Beltch or as funny as spudders. Besides, I know as soon as you get anything good back at you, you'll be whinging like a little girl and hitting the complaint button faster than you hit the cakes (I bet you complain about this reply ) It sounds like your previous stalkers have got bored and left though, you've even turned on delldays here despite the fact he edited his first reply to save you from embarrassment and stole my lols. Forgive me a little schadenfreude my Teutonic forum friend, for I was just amused at the thought of you sitting there, up in your eagles nest, building your latest model sub and thinking "I wonder what Jamie thinks of this sub? I won't pm him, I'll start a new thread." Delldays, fresh back from serving up 57 full English breakfasts is thinking, "the last thing I want to talk about is subs", he reads your thread and thinks "oh feking hell, I can't just write 'whatever' Alps will be p!ssed, I know, I will put 'no where near', that will do...
