So basically, (we think) a fee was agreed for Penarols 30%, but we couldn't agree a fee with Bologna. To counter this we decided to pay the amount to Penarol to Bologna as an addition up front and then to provide a sell on fee clause to Penarol, meaning that our initial outlay is around the same. Problem now being that Penarol won't agree to our new terms? Question is if this is the case, why the hell didn't we sound out Penarol first? Have I followed this correctly?
